Code of Conduct

Audi RED Inc.’s Code of Conduct, provides a road map of the policies and standards that govern how we do business. By following our Code, as employees of Audi RED Inc., you play an integral role in supporting our culture of ethical excellence. Employees, are subject to the highest standards of ethical conduct and behavior to help make decisions in our daily work, demonstrate that we take our legal and ethical responsibilities seriously and create an environment of trust, integrity and accountability.

Act with Integrity

Audi RED Inc.’s reputation for ethical and responsible conduct is built on the daily decisions we make, both individually and as a team. Our Code and company policies offer the guidance you need to perform your job with integrity. Employees are responsible for acting like an owner by understanding and following the policies that apply to the work and decision-making. As a global company, Audi RED Inc. is dedicated to adhering to the laws of every country where we operate. Due to the complexity of international laws and regulations, following our Code and policies will help you maintain compliance with the relevant local laws.

Lead by example

While all employees at Audi RED Inc. must consistently act with integrity, everyone has an enhanced responsibility to lead by example and inspire others by reinforcing the principles of our Code at all levels of our business.

As part of Audi RED Inc., it is the employee’s duty to ask questions, raise concerns, and express your opinions openly whenever compliance issues arise. Our Code cannot cover every possible situation an employee may encounter in their daily work. If employees cannot find the information they need in our Code, or if they have questions about its interpretation, we advise seek guidance.

Additionally, if an employee becomes aware of any potential violations of our Code, our policies, or the law, it is essential to speak up and report them so they can be addressed. Typically, the immediate manager should be the first point of contact. For issues requiring urgent attention — such as workplace violence, employee health and safety, or general safety concerns — employees should report them to their manager immediately. Communicate Openly Promoting a culture of respect means treating each other well. This enables Audi RED Inc. employees to work better, together, and it establishes trust.

Diversity, Equity & Inclusion

At Audi RED Inc., diversity is defined not only by visible characteristics such as race, gender, and ethnicity, but also by the invisible qualities and influences that shape individuals’ identities and make them unique. This includes aspects such as personality, lifestyle, thought processes, work experience, age, education, socioeconomic background, sexual orientation, gender identity, religious affiliation, military service, disability status, family history, community involvement, and other factors. Every Audi RED Inc. employee is responsible for ensuring that their colleagues feel respected and included, foster greater creativity, innovation, and success. While there is still more work to be done to advance diversity and inclusion, the Audi RED Inc. is committed to investing in efforts that will propel both its own progress and that of the industry as a whole. Audi RED Inc., employees, especially those that reside in the province of Ontario, Canada, are encouraged to learn more about Ontario Human Rights Commission’s code and AODA policy though a 5-part eLearning series (20 minutes). Employees who complete the eLearning receives a certificate of completion.

Human Rights

Audi RED Inc. recognizes the importance of maintaining and promoting fundamental human rights in our operations and we are committed to respecting the rights of workers throughout our business. Our Code of Conduct and business policies work together to support the principles contained in the International Bill of Human Rights, Ontario Human Rights Code and the International Labor Organization Declaration on Fundamental Principles and Rights at Work.

Anti-Discrimination/Anti-Harassment

At Audi RED Inc., each employee should have the opportunity to reach their full potential and contribute to the company’s success. It is imperative that employees never discriminate against or treat colleagues or job applicants unfairly in areas such as recruiting, hiring, training, promotions, compensation, or any other employment terms or conditions. Audi RED Inc. is expected to make employment decisions based solely on job-related factors, without regard to race, color, age, sex or gender, sexual orientation, gender identity, gender expression, transgender status, religion, creed, national origin, ethnicity, citizenship, ancestry, disability, genetic information, military or veteran status, pregnancy, marital or familial status, or any other protected category under applicable law. Making employment decisions based on these personal characteristics is not only against company policy but also illegal in many jurisdictions. Audi RED Inc.’s Code prohibits any form of harassment in the workplace as well as any offensive or disrespectful conduct. Audi RED Inc. complies with all local and national laws that prohibit harassment. Employees must refrain from engaging in workplace harassment, which includes unwelcome verbal, visual, physical, or other conduct that makes others feel uncomfortable or creates an intimidating, offensive, or hostile work environment.

Conflicts of Interest

Employees of Audi RED Inc. should avoid any conflict, or the appearance of a conflict, between their personal interests and the company’s interests. They must act with integrity to recognize and prevent conflicts of interest that could interfere with their ability to make objective business decisions, particularly in situations involving personal relationships, outside employment, or investments. 

Conflicts of interest may arise when employees:

  • Engage in activities that compete with, or appear to compete with, Audi RED Inc.’s interests.
  • Allow their business decisions to be, or appear to be, influenced by personal or family interests, romanticrelationships, or friendships.
  • Use company business opportunities, property, information, or resources for personal gain or for thebenefit of others.
  • Hire, supervise, or have a direct or indirect reporting relationship with a family member, romantic partner,or close friend, or influence that person’s employment opportunities or compensation.
  • Have outside activities or employment that negatively impact their job performance or interfere with theirresponsibilities at Audi RED Inc.
  • Work for, provide services to, or receive any personal benefit from a current or potential supplier,customer, or competitor, or have a family member who does.

Failing to disclose a conflict of interest is a violation of the Code.

Employees of Audi RED Inc. are required to promptly disclose any actual or potential conflicts of interest at the time of hiring and whenever such conflicts arise during their employment. This obligation ensures that the company can address any issues transparently and maintain the integrity of its operations.

Timely disclosure allows Audi RED Inc. to assess the situation and determine appropriate actions to mitigate any potential risks to the organization. Employees are encouraged to seek guidance if they are uncertain about whether a situation constitutes a conflict of interest, as proactive communication is essential in upholding the company’s values and standards.
